Terms of Service

1. Agreement to Terms

By creating an account, accessing the API, or using any AethonVoice service ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

If you do not agree to these Terms, do not use the Service.

2. Eligibility

You must be at least 18 years old (or the age of legal majority in your jurisdiction) to use the Service. By using the Service, you represent and warrant that you meet this requirement and have the legal capacity to enter into a binding agreement.

3. Service Description

AethonVoice provides text-to-speech audio generation through:

• REST API — asynchronous job-based text-to-speech generation
• MCP Server — Model Context Protocol interface for AI agent integration
• Voice Cloning — custom voice creation from reference audio
• Batch Processing — multi-item text-to-speech generation

The Service is provided "as is" and "as available." We may modify, suspend, or discontinue any part of the Service at any time with reasonable notice.

4. Your Account

You are responsible for:

• Providing accurate and complete registration information
• Maintaining the confidentiality of your account credentials and API keys
• All activity that occurs under your account, whether or not authorized by you
• Notifying us immediately at aethon@lab.ai if you suspect unauthorized access

You may not share, sell, or transfer your API keys to third parties. API keys that are compromised must be revoked immediately through your dashboard.

5. Billing, Credits & Subscriptions

Credits. The Service operates on a credit-based system. One credit equals one second of generated audio. Credits are consumed when audio generation completes successfully. Credits never expire.

Free Tier. New accounts receive a one-time grant of free credits. Free credits are subject to the same terms as purchased credits.

Subscriptions. Paid plans renew automatically at the end of each billing period (monthly or annual). You may cancel at any time; cancellation takes effect at the end of the current billing period. No prorated refunds are issued for partial billing periods.

Top-ups. Credit purchases are non-refundable once credits have been added to your account.

Payment Failure. If payment fails, you have a 3-day grace period to update your payment method. After the grace period, your account may be suspended until payment is resolved. Suspension does not delete your data or credits.

6. Acceptable Use Policy

You agree to use the Service only for lawful purposes. You must not use the Service to:

• Impersonate or deceive — create audio that impersonates a real person without their explicit consent, or generate content intended to mislead listeners about who is speaking
• Fraud or scam — generate audio for use in phishing, social engineering, financial fraud, extortion, or any other deceptive scheme
• Harassment or threats — create audio that harasses, threatens, intimidates, or bullies any person
• Non-consensual intimate content — generate sexual or intimate audio depicting real persons without their consent
• Illegal content — create audio that violates any applicable law, including but not limited to content that promotes violence, terrorism, child exploitation, or incitement of hatred
• Spam or robocalls — use generated audio for unsolicited bulk communications, automated phone calls, or any activity that violates telecommunications regulations
• Circumventing controls — bypass rate limits, abuse detection, or other security measures
• Misrepresenting AI-generated content — present AI-generated audio as human-produced in contexts where such disclosure is required by law or regulation

Violation of this policy may result in immediate suspension or termination of your account without refund.

7. Voice Cloning — Consent & Responsibility

Your obligations:

• You must have explicit, documented consent from the voice owner before creating a clone. This consent must cover the intended use case.
• If the voice belongs to you, you are the consenting party.
• If the voice belongs to a minor, consent must be given by a parent or legal guardian.
• You must retain proof of consent for as long as the voice clone exists in your account and for 12 months after deletion.
• You must not clone the voice of a deceased person if doing so violates applicable personality rights or estate laws.
• You are solely responsible for ensuring your use of cloned voices complies with all applicable laws in your jurisdiction, including but not limited to personality rights, right of publicity, biometric data laws, and AI-specific regulations.

What we log: For each voice clone created, we record the account ID, creation timestamp, IP address, and a cryptographic hash of the reference audio. These audit logs are retained for a minimum of 2 years. This information may be disclosed to law enforcement upon valid legal process (court order, subpoena, or equivalent).

Takedown: If a voice owner or their authorized representative reports that their voice was cloned without consent, we will promptly suspend the voice clone and investigate. If the account holder cannot demonstrate valid consent, the clone will be permanently deleted and the account may be suspended or terminated.

8. Content Ownership & Intellectual Property

Your content. You retain ownership of your input text and any audio generated from it. AethonVoice does not claim any rights to your input or output.

No training. We do not use your input text, generated audio, or voice clone references to train or improve any AI model. See our Privacy Policy for full details.

Your responsibility. You are solely responsible for the content you generate. You must ensure that your input text does not infringe on any third party's intellectual property rights (e.g., copyrighted scripts, trademarked phrases).

Built-in voices. AethonVoice's built-in voices are provided for use within the Service. You may use audio generated with built-in voices for commercial purposes, but you may not extract or redistribute the voice models themselves.

9. Abuse Reporting

If you believe that AethonVoice is being used to clone your voice without your consent, to impersonate you, or for any other abusive purpose, please contact us immediately:

We will acknowledge your report within 48 hours and take appropriate action, which may include suspending the offending voice clone and account pending investigation.

10. Suspension & Termination

By us. We reserve the right to suspend or terminate your account at any time if we reasonably believe you have violated these Terms, including but not limited to:

• Violation of the Acceptable Use Policy (Section 6)
• Violation of the Voice Cloning consent requirements (Section 7)
• Persistent payment failure beyond the grace period
• Upon valid legal process from law enforcement

Where possible, we will notify you of the reason for suspension and give you an opportunity to resolve the issue. However, in cases involving fraud, impersonation, or imminent harm, we may act immediately without prior notice.

By you. You may close your account at any time through your dashboard or by emailing aethon@lab.ai. Upon account closure, your voice clones, API keys, and job data will be deleted. Unused credits are non-refundable.

Effect of termination. Upon termination, your right to use the Service ceases immediately. We may retain audit logs and account metadata as required by law or for legitimate business purposes (e.g., fraud prevention).

11. Indemnification

You agree to indemnify, defend, and hold harmless Babbly AI Company Limited, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in connection with:

• Your use of the Service
• Content you generate, including audio created with cloned voices
• Your violation of these Terms
• Your violation of any third party's rights, including voice owners' consent rights
• Any claim that audio you generated caused harm to a third party

12. Limitation of Liability

To the maximum extent permitted by applicable law:

• The Service is provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.
• We do not warrant that the Service will be uninterrupted, error-free, or free of harmful components.
• In no event shall Babbly AI Company Limited be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or use, regardless of the cause of action.
• Our total aggregate liability to you for all claims arising out of or in connection with the Service shall not exceed the amount you paid to us in the 12 months preceding the claim.

13. Intellectual Property & Takedown Notices

If you believe that content generated through AethonVoice infringes your intellectual property rights, personality rights, or right of publicity, please submit a takedown notice to aethon@lab.ai with:

• Your name and contact information
• A description of the right you claim is being infringed
• Identification of the infringing content or voice clone
• A statement that you have a good-faith belief that the use is not authorized
• A statement, under penalty of perjury, that the information in your notice is accurate and that you are authorized to act on behalf of the rights holder

We will respond to valid takedown notices in accordance with applicable law.

14. Cooperation with Law Enforcement

We may disclose your account information and audit logs to law enforcement authorities if:

• We receive a valid court order, subpoena, or equivalent legal process
• We believe in good faith that disclosure is necessary to prevent imminent physical harm or financial fraud
• Required by applicable law

Information we may disclose includes: account registration details, payment information, IP addresses, voice clone audit logs (creation dates, reference audio hashes), and job metadata. We do not retain input text content beyond the duration of audio generation.

15. Data Handling

Your use of the Service is also governed by our Privacy & Security Policy, which describes what data we collect, how long we retain it, and how we protect it. Key points:

• Input text is held in memory during processing and deleted upon completion
• Generated audio is stored for 7 days, then automatically deleted
• Voice clone references are retained until you delete them
• We do not use your data to train AI models

16. Modifications to Terms

We may update these Terms from time to time. When we make material changes, we will notify you by email or by posting a notice on the Service at least 30 days before the changes take effect.

Your continued use of the Service after the effective date constitutes acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Service and close your account.

17. Governing Law & Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the Kingdom of Thailand, without regard to conflict of law principles.

Any dispute arising from or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, the dispute shall be submitted to the jurisdiction of the courts of Bangkok, Thailand.

18. General Provisions

Severability. If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

Entire agreement. These Terms, together with the Privacy Policy, constitute the entire agreement between you and Babbly AI Company Limited regarding the Service.

No waiver. Our failure to enforce any provision of these Terms does not constitute a waiver of that provision.

Assignment. You may not assign your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations without restriction.
